1. Purpose
These Terms of Sale govern paid subscriptions to the Sudothink platform, published by RENDERTHINK. The free plan (Free) is governed solely by the Terms of Use.

3. Description of the service
Sudothink is a SaaS platform for the remote configuration, deployment and administration of Windows computers. The service is not a tool for the permanent surveillance of individuals.
4. Offers, plans and pricing
The service is offered under several plans (Free, Starter, Pro, Business), with monthly or annual billing. The current prices are shown on the Plans page of the website.
Prices are stated in euros, excluding tax. Value added tax is calculated automatically by Stripe based on the place of consumption: 20% in France; reverse charge (0%) for professional customers in the European Union with a valid intra-EU VAT number entered at payment; 0% outside the European Union.
RenderThink reserves the right to change its prices, with 30 days' notice for current subscriptions.
5. Ordering and subscription
Subscription is carried out online via Stripe Checkout. Every order is acknowledged. Access to the subscribed plan is activated after the payment is validated.
6. Payment
Payment is fully delegated to Stripe (Stripe Checkout and Customer Portal). No card data passes through Sudothink or is stored by RenderThink; payment security is provided by Stripe (PCI-DSS certified).
The subscription is charged at the start of the period (monthly or annual). In accordance with Article L441-10 of the French Commercial Code, any late payment automatically incurs late-payment penalties equal to three times the legal interest rate, together with a fixed recovery indemnity of 40 EUR.
7. Delivery and access
As the service is entirely digital, no physical delivery is required. Access is activated immediately after payment confirmation, 24/7.
8. Right of withdrawal
The service is digital content supplied immediately. In accordance with Article L221-28 of the French Consumer Code, a customer subscribing to a paid plan expressly consents to immediate performance of the service and waives the right of withdrawal, which lapses upon first access to the service after subscription. Between professionals, the right of withdrawal does not apply.
9. Refunds
Started subscriptions are non-refundable and no pro-rata refund is due in the event of early termination. In the event of a major, established technical failure exclusively attributable to RenderThink, compensation may be granted under the conditions set out in section 11. Dissatisfaction of a qualitative nature is not grounds for a refund.
10. Term, renewal and termination
The subscription is entered into for the duration of the subscribed cycle and renews automatically at each term. The customer may terminate at any time from its workspace (Customer Portal); termination takes effect at the end of the current period, with access maintained until that term. The customer may change plan (immediate upgrade, downgrade at end of period).
In the event of non-payment, RenderThink may suspend access after a formal notice has remained without effect. After termination, the organisation's operational data is deleted upon expiry of a grace period of approximately 37 days (see the Privacy Policy).
11. Availability and service level
The service is provided "as is". RenderThink uses reasonable means to ensure its availability, without warranting the complete absence of interruption or error.
Target availability. RenderThink targets a monthly availability of 99.5% (reasonable efforts), excluding planned maintenance and force majeure. Scheduled maintenance is notified in advance where possible and is not counted.
Exclusions. Interruptions resulting from the following do not constitute downtime: a force majeure event, an act of the customer or a misconfiguration applied by it, the failure of third-party networks or providers, the Microsoft Windows operating system, the unavailability of the target computers, or a suspension for non-payment or breach of the terms.
Compensation. In the event of significant, unplanned downtime exclusively attributable to RenderThink, the customer may request, on reasoned request, compensation in the form of a credit or an extension of the subscription period, proportionate to the duration of the downtime, non-cumulative and capped at the amount of the subscription for the relevant period.
Support. Support is available at support@sudothink.com (technical) and contact@sudothink.com (general). Response times are provided for guidance only, depending on severity, on a reasonable-efforts basis, unless a specific commitment is subscribed under a Business plan or a separate agreement.
12. Liability
RenderThink's liability is limited to direct damages and may not exceed the amount paid by the customer over the 12 months preceding the triggering event. In no event is RenderThink liable for indirect damages (loss of operations, data, customers or opportunities). RenderThink is not liable for failures resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.
13. Intellectual property
The platform and all its components are the exclusive property of RenderThink. No assignment of rights is granted to the customer under these Terms.
14. Personal data and processing
The processing of personal data is described in the Privacy Policy. Where RenderThink processes data on behalf of the customer (fleet management), the relationship is governed by the Data Processing Agreement.
15. Governing law, language and jurisdiction
These Terms are governed by French law. In the event of translation, only the French version is binding. Failing an amicable resolution, any dispute falls within the exclusive jurisdiction of the Commercial Court of Grenoble.
16. Changes to the Terms
RenderThink may modify these Terms. Changes are notified to the customer and take effect on their date of publication, unless stated otherwise. Continued use of the service constitutes acceptance of the new Terms.
